Terms of Service

1. Eligibility

You may only use the Platform if you meet all of the following conditions:

• You are at least the age of legal consent in your jurisdiction.
• You have completed account creation and verification, including Know Your Customer (KYC) compliance, through our payment partner, Stripe.
• You maintain a minimum of 1,000 followers on at least one recognized social media platform.

We reserve the right to verify eligibility and may suspend or terminate accounts that fail to meet these requirements.

2. Nature of the Platform

Nelcim functions solely as an intermediary platform that facilitates connections and transactions between businesses ("Brands") and content creators ("Influencers"). We:

• Provide a platform for Brands to discover and collaborate with Influencers;
• Facilitate the processing of payments through Stripe Connect;
• Do not participate in or bear responsibility for the content, quality, accuracy, or legality of any engagement between Brands and Influencers.

3. Account Registration and Security

To use the Platform, Users must register for an account via Stripe Connect and undergo mandatory KYC verification. You agree to provide accurate, current, and complete information during the registration process and to keep such information up-to-date.

You are solely responsible for maintaining the confidentiality of your account credentials. You must promptly notify us of any unauthorized use of your account.

4. Fees and Payouts

Nelcim earns revenue through a commission fee applied to each successful transaction between a Brand and an Influencer. All payment processing, including disbursements to Influencers, is managed through Stripe, and subject to its terms and processing timelines.

5. Acceptable Use

Users agree not to:

• Use the Platform for any unlawful, fraudulent, or abusive purpose;
• Falsely represent follower counts, engagement metrics, or any material information;
• Engage in activity intended to circumvent Nelcim's payment system or commissions;
• Violate applicable laws or third-party policies, including those of social media platforms.

6. Termination

We reserve the right, in our sole discretion, to suspend or terminate your access to the Platform at any time and without notice if:

• You violate these Terms;
• You provide inaccurate or misleading information;
• You engage in behavior deemed fraudulent, abusive, or harmful to the Platform or other Users.

7. Disclaimers

The Platform is provided on an "as-is" and "as-available" basis. Nelcim disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee the accuracy, reliability, or outcome of any campaign or transaction initiated on the Platform.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall Nelcim be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of or inability to use the Platform.

9. Modifications to Terms

Nelcim reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting the revised version. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of such changes.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law provisions.
